                                                            2. Purpose of the Policy

      This Confidentiality Policy outlines LVM Wholesale L.L.C-FZ’s approach to safeguarding confidential business, client, and operational information. The policy is binding for all employees, contractors, partners, and third parties, and reflects the Company’s commitment to secure, lawful, and responsible data handling practices in accordance with applicable UAE legislation and Free Zone regulations.

                                                           3. Legal and Regulatory Framework

      This Policy is governed by the following regulatory frameworks:

  1) Meydan Free Zone Companies Regulations (2009, restated 2013). Link.

  2) Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). Overview.

  3) VARA Virtual Assets and Related Activities Regulations (Dubai, 2023). Rulebook.

  4) UAE Commercial Companies Law.

  5) AML regulations, and applicable executive decisions as well as all internal corporate policies of the Company. 

                                                           4. Scope of Confidential Information

Confidential Information includes, but is not limited to:

  1) Client and supplier contracts, identities, and records.

  2) Commercial terms, invoices, payments, and pricing structures.

  3) Business strategies, financial plans, and internal reports.

  4) Product specifications, sourcing data, and operational documents.

  5) Internal communications and meeting notes.

  6) Legal agreements, regulatory correspondence, and audits.

  7) Third-party information disclosed under NDA or confidentiality agreement(s).

                                                          5. Confidentiality Obligations

All parties with access to Confidential Information shall:

  1) Maintain strict confidentiality at all times

  2) Use such information only for authorized and necessary business activities

  3) Prevent unauthorized disclosure, duplication, or alteration

  4) Immediately report any suspected or confirmed breaches

  5) Refrain from retaining confidential data longer than necessary

                                                           6. Security Measures

LVM Wholesale L.L.C-FZ implements the following data protection controls:

  1) Role-based access control and encryption of sensitive data

  2) Secure file sharing and cloud storage systems

  3) Password-protected systems and activity monitoring

  4) Regular internal audits and training on confidentiality obligations

  5) Immediate revocation of access upon employment or contract termination

                                                           7. Third-Party Access

Third parties (vendors, consultants, service providers) shall:

  1) Sign a binding Non-Disclosure Agreement (NDA)

  2) Use confidential information strictly for agreed purposes

  3) Follow all applicable Company policies

  4) Be liable for any misuse or unauthorized disclosure

                                                         8. Retention and Duration of Obligations

Confidentiality obligations remain effective for the duration of employment or contractual engagement

These obligations continue for at least 5 years after termination of the relationship, unless otherwise required by law or contract

                                                        9. Violations and Enforcement

Violations of this policy may result in:

  1)Disciplinary action (including termination of employment or contract)

  2) Civil or contractual liability (including indemnification)

  3) Regulatory reporting and criminal prosecution under UAE law

                                                       10. Governing Law

This Policy shall be governed and interpreted in accordance with the following:

                               1) The laws of the United Arab Emirates (UAE), including:

  - Federal Decree-Law No. 31 of 2021 (UAE Penal Code) – covering criminal liability for misuse of confidential and proprietary information

  - Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combatting the Financing of Terrorism – regulating financial and transactional confidentiality

                             2) The rules and regulations of Meydan Free Zone, including:

  - Meydan Free Zone Company Regulations (Restated 2013) – outlining operational, compliance, and confidentiality duties of licensees

  - Meydan Free Zone – Compliance Portal & Regulatory Guidelines

                            3) The UAE Federal Data Protection Law, specifically:

  - Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) – establishing obligations related to data confidentiality, breach notification, and data subject rights

                           4) Where applicable, the Virtual Assets and Related Activities Regulations (VARA, 2023), including:

  - VARA Compliance and Data Protection Rulebook

  - VARA Licensing & Supervision Guidelines

                                                     11. Data Protection Oversight

The Company has appointed a dedicated Data Protection Officer (DPO) to oversee implementation, compliance, and enforcement of this Confidentiality Policy and all data protection-related matters.
